Common questions

Frequently Asked Questions

Is DIR-3 KYC still an annual filing in 2026?
No. MCA replaced the annual requirement with a three-year KYC intimation cycle effective 31 March 2026. Rule 12A now provides for DIR-3-KYC-Web by 30 June of the immediately following every third consecutive financial year. Directors who had completed KYC under the earlier system were stated to have their next scheduled filing due by 30 June 2028. Legal reference: Companies (Appointment and Qualification of Directors) Rules, 2014, substituted r. 12A (effective 31 March 2026). Primary / professional source
How quickly must a DIN holder update a changed mobile number, email or residential address?
Under amended rule 12A(2), a holder of DIN must submit Form DIR-3-KYC-Web within 30 days of the change. This event-based requirement is independent of the normal three-year KYC cycle; applicable statutory filing fees must be checked. Legal reference: Companies (Appointment and Qualification of Directors) Rules, 2014, r. 12A(2). Primary / professional source
Does a director resign only after DIR-12 is approved?
No. The resignation generally takes effect from the date the company receives the resignation notice or the later date specified by the director, whichever is later. The company must separately comply with its duty to intimate ROC in the prescribed form and time. Legal reference: Companies Act, 2013, s. 168; Companies (Appointment and Qualification of Directors) Rules. Primary / professional source
What is the consequence of a deactivated DIN for non-compliance?
A deactivated DIN may require prescribed KYC and reactivation filings before certain MCA actions can proceed. Check the live DIN status, substituted rule 12A, form instructions and applicable filing fees; do not rely on pre-2026 annual-DIR-3-KYC guidance. Legal reference: Companies Act, 2013, s. 153; amended rule 12A. Primary / professional source
